Terms of Service

The agreement between you and Wayscript — in plain English first, then in full. The short version: use Wayscript to write, keep the rights to everything you create, and play fair with other writers.

The short version

A plain-English summary. The full, legally-operative terms are below.

  • You own your writing. Everything you create in Wayscript stays yours. We claim no ownership of your manuscripts, and we don't use them to train AI.
  • The free app is yours to use locally, on your own device, with no card details required. Paid plans add cloud sync, the interactive studio, AI tools, and more.
  • Paid plans renew automatically through our payment provider, Paddle. You can cancel anytime, and you have a statutory 14-day right to change your mind.
  • AI features are opt-in tools. The Reviewer only ever critiques — it never writes your prose. Results are estimates to help you, not guarantees.
  • Be a good neighbour. When you share work or use community features, don't post anything unlawful, abusive, or infringing. We can remove content and suspend accounts that break the rules.
  • Reasonable limits apply. We provide Wayscript "as is", with the protections the law gives consumers, but we can't promise it will be perfect or never go down.
  • UK law governs these terms, and nothing here takes away your statutory consumer rights.

The full terms

1. Who we are and what these terms cover

Wayscript is a writing studio for long-form fiction, provided by Binary Spiders Ltd, a company registered in England & Wales (company number 09525143) ("Wayscript", "we", "us", "our"). These Terms of Service (the "Terms") govern your use of the Wayscript desktop, mobile, and web applications, our website, and any related services (together, the "Service").

By downloading, installing, creating an account, or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service. Your use of the Service is also subject to our Privacy Policy and AI Policy, which are incorporated into these Terms by reference.

2. Eligibility

You must be at least 16 years old to use the Service, and at least 18 to view mature (18+) works in the Discover showcase, which are hidden by default and unlocked only after a one-time age confirmation. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

3. Your account

The free app works locally and doesn't require an account. To use paid plans, cloud sync, AI features, or community features, you create an account with an email address, a username (handle), and a password. You're responsible for keeping your password secure and for activity under your account. Tell us promptly at [email protected] if you believe your account has been compromised. You must give accurate information and keep it up to date. One person may not maintain accounts to abuse credit allowances or evade suspensions.

4. Plans, subscriptions, and payment

Wayscript offers a free plan and paid subscription plans (currently Author and Author + Reviewer), plus optional review-credit packs. The features included in each plan are described on our pricing page.

  • Payment provider. Payments are handled by Paddle (Paddle.com Market Ltd), which acts as the Merchant of Record for your purchase. Your purchase is also subject to Paddle's buyer terms, and applicable taxes are collected by Paddle at checkout.
  • Automatic renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date.
  • Cancellation. You can cancel at any time from your account settings or through Paddle. Cancellation stops future renewals; you keep paid access until the end of the period you've already paid for.
  • Price changes. We may change subscription prices. We'll give you reasonable notice before a change affects you, and the new price applies from your next renewal.
  • Review credits. AI review credits are allocated with your plan or bought in packs. Unless stated otherwise, plan credits are for use within your billing period and don't carry a cash value or a right to a refund once used.

5. Your right to cancel and refunds

Because Wayscript is digital content and services, you have a statutory 14-day right to change your mind after purchase under UK consumer law. However, by starting to use a paid AI feature or downloading paid digital content within that period, you acknowledge that you may lose the right to cancel for the part already supplied. Beyond your statutory rights, refunds are handled by Paddle in line with its refund policy — see our Refund Policy for the details, or contact [email protected] and we'll help. Nothing in these Terms affects your statutory rights as a consumer.

6. Your content and intellectual property

You keep everything. As between you and us, you retain all rights, title, and interest in the manuscripts, characters, worldbuilding, notes, and other material you create in Wayscript ("Your Content"). We claim no ownership of it.

You grant us only the limited licence we need to run the Service for you — for example, to store and sync Your Content across your devices on a paid plan, to display excerpts you choose to share to the people you share them with, and to transmit passages you submit to an AI feature so the result can be generated. This licence exists only to operate the Service at your direction, ends when you delete the relevant content or your account, and does not permit us to sell Your Content or use it to train AI models.

You're responsible for Your Content and confirm you have the rights to it. Don't upload or share material that infringes someone else's copyright, trade marks, or other rights.

7. Our intellectual property

The Service itself — the software, design, branding, and website — is owned by Binary Spiders Ltd or our licensors and is protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service except where the law expressly permits it. "Wayscript" and our logo are our marks and may not be used without permission.

8. Acceptable use

To keep Wayscript safe and useful for everyone, you agree not to:

  • break the law, or use the Service to create or distribute unlawful material (including content that is defamatory, harassing, or that sexualises children);
  • infringe anyone's intellectual property or privacy rights;
  • upload malware, attempt to gain unauthorised access, probe or disrupt the Service, or circumvent security, rate limits, or credit allowances;
  • scrape, resell, or systematically extract the Service or other users' content;
  • misrepresent the origin of a work — for example, passing off substantially machine-generated text as your own where honesty is expected; or
  • abuse community, sharing, or messaging features to harass others or send spam.

We may remove content and suspend or terminate accounts that breach these rules (see §12).

9. Community, sharing, and user content

Wayscript includes optional community and sharing features — sharing excerpts for feedback, comments, direct messages, live chat, and writing sprints. When you use them, your handle and display name are visible to others, and anything you share is visible to the people you share it with according to the settings you choose. You're responsible for what you post. You grant other users the permissions inherent in the sharing settings you select (for example, allowing comments or downloads on a shared excerpt). We don't monitor all content, but we may review and remove material that breaches these Terms, and we operate a reporting and moderation process for content and conduct.

10. AI features

Wayscript's AI tools — passage diagnostics, the Reviewer, Discover analysis, and inline autocomplete (Smart Compose) — are optional, opt-in, and available on paid plans. By using them you agree that:

  • the text you submit is sent through our backend to our AI sub-processor (Anthropic) to generate the result, as described in our Privacy Policy and AI Policy;
  • the Reviewer only critiques your writing and never generates prose for you, so the words in your manuscript remain yours;
  • AI outputs — including Discover estimates such as keywords, age ratings, and originality indicators — are tools and estimates, not guarantees, and you're responsible for how you use them; and
  • your inputs and outputs are not used to train AI models.

11. Availability, changes, and beta features

We work to keep the Service available and reliable, but we don't promise it will be uninterrupted or error-free, and we may perform maintenance, update features, or discontinue parts of the Service. We'll give reasonable notice of material changes where we can. Some features may be offered as previews or "coming soon" (for example, the marketplace) and may change or be withdrawn. Your locally-stored work on the free app remains on your device regardless.

12. Suspension and termination

You can stop using the Service at any time and delete your account in-app. We may suspend or terminate your access if you materially breach these Terms, use the Service unlawfully, or create risk or legal exposure for us or others — where practical, with notice and a chance to put things right. If we terminate your account for a serious breach, you may not be entitled to a refund of amounts already paid. On termination, the licences in §6 and §7 end, and you should export any synced content you want to keep beforehand. Provisions that by their nature should survive (including §6, §7, §13, §14, and §16) survive termination.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude implied warranties not required to be given to consumers. Wayscript is a tool to support your writing; we don't warrant that AI results, diagnostics, or originality indicators are accurate, complete, or fit for any particular purpose, and you shouldn't rely on them as legal, professional, or publishing advice. Nothing in these Terms excludes or limits any rights you have as a consumer that cannot be excluded under law — including that digital content and services must be as described, fit for purpose, and of satisfactory quality.

14. Liability

We do not exclude or limit our liability where it would be unlawful to do so — including for death or personal injury caused by our negligence, for fraud, or for your statutory consumer rights. Subject to that:

  • we are not liable for loss that is not reasonably foreseeable, for loss of profits, or for business losses (you may use the Service for your own authorship — personal or commercial, including writing works you sell or publish — but not to resell, redistribute, or provide the Service itself to others); and
  • our total liability arising out of or in connection with the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or £100.

You're responsible for keeping your own backups of important work, especially on the free local app. We take care to protect synced data (see the Privacy Policy) but can't be responsible for loss you could have avoided by keeping a copy.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the date at the top and, where appropriate, notify you in the app or by email. Changes take effect when posted, and continuing to use the Service after that means you accept the updated Terms. If you don't accept a change, you should stop using the Service and may cancel any paid plan.

16. Governing law and disputes

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have jurisdiction — except that if you're a consumer resident elsewhere in the UK, you may bring proceedings in your own jurisdiction, and this doesn't deprive you of the protection of mandatory consumer laws in your place of residence. We'd always prefer to resolve concerns directly first, so please contact us before taking any formal step.

17. General

If any provision of these Terms is found unenforceable, the rest remains in force. Our not enforcing a right isn't a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a reorganisation or sale of our business, without reducing your rights. These Terms, together with the Privacy Policy and AI Policy, are the entire agreement between us regarding the Service.
